INCOME SHARE AGREEMENT ISA-20260531-4F576F THIS INCOME SHARE AGREEMENT (this "ISA") is entered into as of 2026-01-15 (the "Effective Date") by and between: EIGOO INC., a corporation operating under the EIGOO Armada flag (the "Funder"); and Admiral Lyra Solenne, residing at 2 Bay Rd (the "Recipient"). VESSEL REFERENCE: EIG-V-002 1. FUNDING 1.1 In consideration of the Recipient's obligations herein, the Funder shall advance to the Recipient the sum of 100000 gold units (the "Funding Amount") on or before fifteen (15) days following the Effective Date. 2. INCOME SHARE OBLIGATION 2.1 In exchange for the Funding Amount, the Recipient agrees to pay to the Funder 8% of the Recipient's Gross Annual Income (the "Income Share") for each year during the Payment Term, subject to the limitations herein. 2.2 "Gross Annual Income" means all wages, salaries, self-employment income, distributions, dividends, gains, and other earnings of the Recipient during a calendar year, excluding gifts, inheritances, and one-time non-recurring lump sums. 3. PAYMENT TERM AND CAP 3.1 The "Payment Term" is 60 months from the Effective Date. 3.2 The total amount payable by the Recipient under this ISA shall not exceed 2× the Funding Amount (the "Payment Cap"). Upon reaching the Payment Cap, the Recipient is fully released from any further obligation. 3.3 No Income Share is payable for any calendar year in which the Recipient's Gross Annual Income is below 30000 gold units (the "Income Threshold"). Such year is deferred and does not count toward the Payment Term. 4. REPORTING 4.1 The Recipient shall, within sixty (60) days following the end of each calendar year, submit to the Funder a sworn Annual Income Statement, accompanied by relevant tax filings or equivalent documentation. 4.2 The Funder may, no more than once per year, audit the Recipient's records solely to verify the accuracy of the Annual Income Statement. 5. PAYMENT 5.1 The Income Share for each year shall be paid in equal monthly installments commencing on the first day of the month following submission of the Annual Income Statement. 6. NO EQUITY 6.1 This ISA does not grant the Funder any ownership, equity, voting, or governance rights in the Recipient's enterprises, employer, or person. 6.2 The Recipient retains full discretion over career, employment, and entrepreneurial decisions. 7. EARLY BUYOUT 7.1 The Recipient may, at any time, terminate this ISA by paying the Funder a lump sum equal to the Payment Cap minus any payments already remitted. 8. DEFAULT 8.1 Failure to submit an Annual Income Statement or to remit a monthly installment within thirty (30) days of its due date constitutes a Default. 8.2 Upon Default, the unpaid balance accelerates and becomes immediately due, subject to applicable consumer-protection laws. 9. GOVERNING LAW 9.1 This ISA is governed by the laws of the State of Delaware, USA, and is subject to all applicable federal and state consumer-finance regulations. 10. ENTIRE AGREEMENT 10.1 This ISA represents the complete and entire understanding between the Parties regarding income sharing and supersedes all prior agreements.
