MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement ("Agreement") is entered into on 2026-01-15 (the "Effective Date") by and between:

EIGOO INC. ("EIGOO"), represented by Admiral Admiral Vexor Drake; and

TEST_UI_Sign, of 9 St (the "Counterparty").

Each a "Party" and collectively the "Parties".

1. PURPOSE
1.1 The Parties wish to explore the following business opportunity (the "Purpose"):

2. DEFINITION OF CONFIDENTIAL INFORMATION
2.1 "Confidential Information" means any non-public information, in any form, disclosed by one Party (the "Discloser") to the other (the "Recipient") relating to the Discloser's business, technology, finances, customers, strategy, or operations.
2.2 Confidential Information does not include information that: (a) is or becomes public through no fault of the Recipient; (b) was rightfully known by the Recipient prior to disclosure; (c) is independently developed by the Recipient; or (d) is rightfully obtained from a third party without a duty of confidentiality.

3. OBLIGATIONS
3.1 The Recipient shall: (a) use the Confidential Information solely for the Purpose; (b) protect it with the same degree of care it uses for its own confidential information, but no less than reasonable care; and (c) not disclose it to any third party without prior written consent of the Discloser.
3.2 The Recipient may share Confidential Information with its employees, officers, and advisors who have a bona fide need to know and are bound by equivalent confidentiality obligations.

4. TERM
4.1 This Agreement remains in force for a period of 3 years from the Effective Date.
4.2 The confidentiality obligations survive termination for an additional period of three (3) years.

5. NO LICENSE
5.1 Nothing in this Agreement grants the Recipient any license or right to the Confidential Information except as expressly set forth herein.

6. REMEDIES
6.1 The Parties acknowledge that monetary damages may be insufficient and that the Discloser is entitled to seek injunctive relief in addition to all other available remedies.

7. RETURN OF MATERIALS
7.1 Upon written request, the Recipient shall promptly return or destroy all Confidential Information in its possession.

8. GOVERNING LAW
8.1 This Agreement is governed by the laws of the State of Delaware, USA.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
